Terms of Service

1. Introduction

Welcome to AIcademio! These Terms of Service (the “Terms”) are a legal agreement between you and Patagonia Capital LLC (“AIcademio,” “we,” “us,” or “our”) governing your access to and use of our websites, apps, and related services (the “Services”). By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. Please read these Terms carefully (in particular, Section 6 “Subscription Plans and Purchases”) before starting a trial or completing a purchase for any auto-renewing subscription. To avoid being charged, you must cancel at least 24 hours before the end of the trial or then-current subscription period (timing may vary by platform and payment method).

Important Notice

PLEASE NOTE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION IN SECTION 12 THAT AFFECTS YOUR RIGHTS UNDER THESE TERMS. THE ARBITRATION PROVISION REQUIRES THAT DISPUTES BE RESOLVED IN ARBITRATION ON AN INDIVIDUAL BASIS. EXCEPT AS SPECIFIED BELOW IN SECTION 12, UNLESS YOU OPT OUT WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS AS PROVIDED IN SECTION 12, ARBITRATION IS THE EXCLUSIVE VENUE FOR CERTAIN DISPUTES AND IS MANDATORY. FURTHERMORE, THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES (SECTION 9) AND LIMITATION OF LIABILITY (SECTION 10).

2. Eligibility and Account Registration

To access certain features of our platform, you must register for an account. By using the Services, you represent that you are at least 18 years old (or the age of majority where you live), or that you have consent of a parent or legal guardian to use the Services. When you register: • You agree to provide accurate, current, and complete information • You are responsible for maintaining the confidentiality of your account credentials • You are responsible for all activities that occur under your account • You must notify us immediately of any unauthorized access or use of your account • You must not share access to your account except as permitted by the Services

3. Acceptable Use

You agree not to use our platform to: • Violate any applicable laws or regulations • Infringe upon the intellectual property rights of others • Transmit any harmful, offensive, or illegal content • Attempt to gain unauthorized access to our systems or other users' accounts • Use the platform for any fraudulent or malicious purposes • Redistribute, resell, or share course content without authorization • Use automated systems or bots to access the platform

4. Your Content, Feedback, and AI Features

Your Content: You may be able to submit content to the Services (including text, files, and other materials). You represent and warrant you have all rights necessary to submit your content and that it does not violate any law or third-party rights. License to Operate the Services: You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (for technical purposes such as formatting), and display your content solely to operate, provide, and improve the Services. Feedback: If you provide suggestions or feedback, you grant us the right to use it without restriction or compensation. AI Features: If the Services include AI-powered features, outputs may be inaccurate or incomplete and should be verified before relying on them. The Services and any AI outputs are for informational and educational purposes only and are not professional advice (including legal, medical, financial, or employment advice). You are responsible for how you use any output.

5. Intellectual Property

All content on our platform, including but not limited to courses, videos, text, graphics, logos, and software, is the property of AIcademio or our content creators and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the content for personal, non-commercial educational purposes only. This license does not include the right to: • Modify, copy, or distribute the content • Use the content for commercial purposes • Remove any copyright or proprietary notices

6. Subscription Plans and Purchases

AIcademio offers various subscription plans and may offer one-time purchases. By purchasing, you agree to: • Pay all applicable fees for your chosen plan • Automatic renewal of your subscription unless cancelled (for subscriptions) • Cancellation at least 24 hours before renewal to avoid charges (timing may vary by platform) • No refunds for partial subscription periods, except as required by law or as expressly stated in our Subscription Terms Platform Purchases: If you purchase through Apple App Store, Google Play, or another third-party platform, your purchase may be subject to that platform’s terms, billing, and refund policies, and you may need to manage cancellations through that platform. We reserve the right to modify our pricing and plans at any time with reasonable notice where required, including to existing subscribers as applicable.

7. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including: • Breach of these Terms • Fraudulent or illegal activity • Non-payment of fees • Extended inactivity Upon termination, your right to use the platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

8. Third-Party Services and Links

The Services may integrate with or link to third-party services (including payment processors, analytics providers, and identity providers). We do not control third parties and are not responsible for their services. Your use of third-party services is subject to their terms and policies.

9. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that: • The platform will be uninterrupted or error-free • Any defects will be corrected • The platform is free of viruses or harmful components • The results of using the platform will meet your expectations

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AICADEMIO, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless AIcademio and its affiliates, and their officers, directors, employees, and agents, from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your content, or (c) your violation of these Terms or applicable law.

12. Dispute Resolution and Arbitration

Informal Resolution: Before starting arbitration or a lawsuit, you agree to contact us at hello@aicademio.com and provide a brief description of the dispute and your contact information. We will try to resolve disputes informally. Binding Arbitration: Except for (a) claims in small claims court (if eligible), and (b) claims for injunctive or equitable relief related to misuse of intellectual property, you and AIcademio agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis. Class Action Waiver: You and AIcademio agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@aicademio.com with your full name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other parts of these Terms. Arbitration Rules, Provider, and Seat: The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or other AAA rules applicable to the dispute) as modified by these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. The seat (legal place) of arbitration will be Jackson, Wyoming. The arbitration may be conducted remotely (by video or phone) unless the arbitrator determines an in-person hearing is necessary. Any in-person hearing will take place in Jackson, Wyoming unless you and we agree otherwise.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles, except where prohibited by applicable consumer protection law.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by posting a notice on the Services or emailing you). Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
